Terms & Conditions

1. Scope

These terms apply to all services of Prossimo Business Solutions (owner: Dario Della Porta) for businesses and self-employed clients and, for CV & LinkedIn optimisation, for consumers. For consumers, the provisions in section 13 also apply; mandatory consumer protection rules remain unaffected. Conflicting terms of the client apply only if confirmed in writing.

2. Services

Service areas are: recruiting & executive search, international recruiting and outreach campaigns, HR administration, process optimisation & project coordination, AI & automation (Python, databases, AI workflows, websites) and CV & LinkedIn optimisation. The exact scope follows from the quote or written order. These are consulting and support services; a specific result, such as a hire or a job offer, is not owed.

3. Intro call and contract

The intro call is non-binding and confidential. A contract is concluded when the client accepts a written quote (email is sufficient) or orders the service in writing. Appointments should be cancelled or rescheduled at least 24 hours in advance.

4. Prices

The prices stated in the quote (fixed price by scope) or the hourly and daily rates published on the website apply. All prices in euros. No VAT is charged (TVA non applicable, art. 293 B du CGI). Agreed travel costs are shown separately.

5. Payment

Invoices are payable within 30 days of the invoice date. Late payment incurs interest at three times the legal rate plus a fixed recovery fee of €40. For larger projects or fixed prices, an advance or instalments may be agreed. Late payment interest and the €40 fee apply to businesses only.

6. Client cooperation

The client provides required information, access and decisions in good time. Delays caused by missing cooperation move agreed dates accordingly.

7. Confidentiality and data protection

Both parties treat confidential information as confidential. On request a separate non-disclosure agreement (NDA) is concluded. If personal data is processed on the client’s behalf, a data processing agreement is concluded where required. AI-assisted tools are used by agreement; confidential data is passed to AI services only with the client’s consent. Results of AI-assisted work are reviewed professionally before handover.

8. Usage rights

Deliverables pass to the client for contractual use upon full payment unless agreed otherwise. General know-how, tools and pre-existing components remain with Prossimo Business Solutions. The client is named as a reference only with consent.

9. Liability

I am liable for intent and gross negligence. For slight negligence Prossimo Business Solutions is liable only for breach of essential contractual duties and limited to foreseeable, typical damage, up to the order value at most. Indirect damages and lost profit are excluded to the extent permitted by law. For technical services, backing up the client’s data remains the client’s responsibility.

10. Term and termination

Projects end with acceptance or handover. Ongoing support without a fixed term can be terminated by either party with 14 days’ notice in writing. The right to terminate for good cause is unaffected.

11. Force majeure

In cases of force majeure (e.g. illness, infrastructure failure, official measures), deadlines are extended appropriately.

12. Governing law and jurisdiction

French law applies. For businesses, the place of jurisdiction is Toulon, where legally permitted; for consumers, the statutory jurisdiction applies. If a provision is invalid, the remaining provisions stay in force.

13. Special provisions for consumers

Right of withdrawal. Consumers may withdraw from a contract concluded at a distance or off-premises within 14 days of conclusion without giving reasons (Art. L.221-18 French Consumer Code). Withdrawal is made by a clear statement, e.g. by email to [email protected], or using the model form below.

Early start. If the consumer wants the service to start before the withdrawal period ends, they must expressly request it. If they withdraw afterwards, they owe a proportionate amount for the services provided up to then. The right of withdrawal lapses once the service has been fully performed before the end of the period with their express consent and acknowledgement (Art. L.221-28 French Consumer Code).

Refund. Amounts already paid are refunded within 14 days of receipt of the withdrawal, using the same means of payment.

Model withdrawal form. Warranty, liability and mediation. The consumer’s statutory rights remain unaffected. The limitations of liability in section 9 apply to consumers only to the extent permitted by law. In the event of a dispute, the consumer may refer it free of charge to the consumer mediator named in the legal notice.
